What these terms are

A summary of the conditions we work to. The conditions printed on the order acknowledgement, and any contract signed by both companies, prevail over this page if the two ever disagree.

Written in plain English on purpose. A term you cannot read is not a term you agreed to.

Quotations

A quotation is valid for 30 days unless it says otherwise. Stainless sheet and PVD line capacity both move, so a quote with no validity is either an oversight or a number that will be withdrawn.

A quotation is for the scope it lists. Anything named under exclusions is not included, even if it is obviously needed to finish the job.

Orders

An order exists when we issue an order acknowledgement and you accept it. Until then, nothing is booked: not material, not machine time, not a delivery slot.

The acknowledgement states the scope, the price, the schedule reference point and the payment terms. Read it. It is the document we will both point at later.

Drawings and approval

We fabricate to the shop drawing you approve. Approval is written — a signed sheet, or an email that says approved in words, not a thumbs up on a chat.

You are responsible for the design intent, the dimensions you supply and the site conditions. We are responsible for the drawing being buildable, and for telling you when it is not.

Changes after approval are variations. They are priced before we cut, and they move the schedule by the time the change takes plus the time the machine queue moves.

Tolerances and finishes

Tolerances are the ones stated on the approved drawing. If the drawing states none, our standard applies: ±0.5 mm on cut length, 1.2 mm per metre on flatness, ±0.5° on a fold.

Finishes are matched to the reference sample approved for the job. Stainless is a natural material and batch colour varies slightly; a match to a physical sample is the standard, not a match to a photograph.

Flatness is judged with the panel fixed as it will be fixed on site. An unrestrained panel will move; that is physics, not a defect.

Schedule

The schedule runs in days from the approved drawing, not from the purchase order. We say this in every quote because it is the single most common misunderstanding in custom metalwork.

Dates given are working days and exclude Chinese New Year, when the factory closes for two to three weeks and no amount of pressure changes that.

Delivery, title and risk

Delivery terms are the Incoterms named in the quotation. FOB Shenzhen or Guangzhou is our default.

Risk passes as the named Incoterm says. Title passes when we have been paid in full.

We photograph every crate before it is closed and send the photographs with the packing list. That record is what resolves a damage claim.

Payment

As stated on the order acknowledgement. Late payment suspends production and shipment, and we will tell you before we stop rather than after.

Bank charges outside China are the buyer's, unless the acknowledgement says otherwise.

Inspection and claims

Inspect the goods on arrival, before installation. Report shortages and visible damage within seven days of arrival, with photographs of the crate and the part.

Claims made after installation are difficult to assess, because installation damage and fabrication defects look the same by then.

Where a part is wrong because of our error, we remake it and pay the freight. Where the approved drawing was wrong, we quote the remake at cost.

Limitation of liability

Our liability for any claim is limited to the value of the goods supplied under that order. We are not liable for loss of profit, loss of use, delay costs or consequential loss.

We carry product liability insurance. A certificate can be provided before an order if your contract requires one.

Force majeure

Neither party is liable for delay caused by events outside their control: government action, port closure, epidemic control measures, war, or a natural event that stops a factory.

The affected party tells the other within seven days and the schedule moves by the length of the delay.

Governing law and disputes

Chinese law governs. The default forum is the court with jurisdiction at our registered address in Foshan, Guangdong.

In practice, disputes on custom work are settled by the trial-fit record and the photographs. That is the reason we keep both.

Ask before you order, not after. A question about a term costs nothing and a misunderstanding costs a month.
